Mike O'Sullivan has an excellent post on ten unintended consequences of the SOX revolution. A big part of the problem, I think, is the legalistic nature of Americans. Most people would violate the spirit of the law in order to comply with the letter of the law. That is why Sarbanes-Oxley sucks, because companies can comply, and still not get much better.
